Come on, lets have a big ding dong about it, eh?
The correct answer is Serenity by the way, unless you think Smallville is better than Buffy, in which case the correct asnwer is ritual suicide. Don't forget to write a nice note to your mum.

Ooooh.
Empire vs. Alliance
"The empire is evil! The empire is evil!" Unless you're Anakin, in which case you're a bit confused and think the Jedi are evil, too... so decide to side with the person who lets you kill children instead of your wife... just because.
The alliance is not evil. It's trying to do decent things, but doesn't understand that not everybody wants it.
Morality
Serenity has grey areas - the heroes are actually criminals and the villain acknowledges he's evil, but has just motivation for his actions.
Ep III tries to have grey areas, but it ultimately boils down to "whoops, I've been conned - no going back now, is there? I'll be evil then."
Ending
Serenity ends with a tiny victory that feels huge - the truth outing and the villain accepting that his cause is actually a sham.
Ep III ends with... well, uhm... several horrible contrivances that feel like neither victory or defeat? Oh, and a great feeling of "oh, is that it, then?"
The acting
The SW guys had two movies to hone the characters. Serenity's cast had 14 tv episodes. So why did one of them feel like a bunch of people standing around reciting dialogue, whilst the other felt like they were actual characters?
Ep III has swishier special effects, I guess...
I leave you with quotes from the climactic one-on-one fight scenes, for script comparison purposes...
"In my opinion, the Jedi are evil!"
"Are you willing to die for that belief?"
"I am. It just isn't exactly Plan A..."
"You were supposed to be the Chosen One!"
"Do you know what your sin is, Mal?"
"Awh hell, I'm a big fan of all seven. Right now, though, I'm gonna have to go with Wrath."
